Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Diazites LLC ("CarPromo", "we", "us"), a company based in Miami, FL. By accessing https://carpromo.co or using our services, you agree to these Terms. If you do not agree, do not use the service.

1. The service

CarPromo is a software-as-a-service platform that connects dealer inventory to AI-generated promotional videos and a public used-car marketplace. We grant you a limited, non-exclusive, non-transferable license to use the platform for your own dealership business, subject to these Terms.

2. Dealer responsibilities

• Keep your inventory accurate and up to date, including pricing, mileage, and vehicle condition.
• Only list vehicles you are legally authorized to sell.
• Post lawful content only — no misleading, fraudulent, or illegal listings.
• Maintain the accuracy of your contact details so buyers can reach you.

3. Prohibited use

You may not use the service to post illegal content, infringe anyone's intellectual property, distribute malware, attempt to gain unauthorized access, or otherwise misuse the platform in a way that harms us or other users.

4. Fees and subscriptions

Paid plans are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method each billing cycle. All fees are in U.S. dollars and exclusive of taxes unless stated otherwise.

5. Cancellation

You may cancel your subscription at any time from your billing page. Cancellation stops future billing and takes effect at the end of the current billing period. See our Refund Policy for refund terms.

6. AI-generated content

Promotional videos, captions, and descriptions are generated in part by artificial intelligence. We do not guarantee that AI output is free of errors, and you are responsible for reviewing AI-generated content before publishing it.

7. Marketplace rules for buyers

The marketplace lists vehicles offered by independent dealers. We are not a party to any transaction between you and a dealer. Listings are provided for convenience, and we do not guarantee availability, price, or condition of any vehicle.

8. Intellectual property

The CarPromo name, branding, software, and platform design are owned by Diazites LLC. You retain ownership of your own inventory photos and data; you grant us a license to use them to provide the service.

9. Disclaimer and limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Diazites LLC will not be liable for indirect, incidental, or consequential damages, or for any amount exceeding the fees you paid in the twelve months before the claim.

10. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida. You agree to attempt to resolve disputes informally by contacting us first.
